Effective Date: August 9, 2026

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You" or "Customer") and Waldek Technologies ("Company," "We," or "Us") for the use of our Gauzilla Pro ("Software"), a software-as-a-service (SaaS) solution.

1. ACCEPTANCE OF TERMS

1.1 By accessing or using the Software, You agree to be bound by the terms and conditions of this Agreement. If You do not agree to these terms, do not use the Software.

2. LICENSE GRANT

2.1 Subject to the terms of this Agreement, the Company grants You a limited, non-transferable, revocable license to access and use the Software for the duration of the beta phase or of the purchased license.

3. PLATFORM ACCESS

3.1 This license is granted exclusively to individuals, companies, and organizations who signed up for the use of the Software or who have purchased a subscription or license of the Software.

4. NO WARRANTY

4.1 THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5. ACCESS CREDENTIALS

5.1 You agree not to share or transfer Your access credentials to anyone.

6. PROHIBITED ACTIVITIES

6.1 Alter, adapt, copy, disassemble, decompile, reverse engineer, create derivative works of, or distribute externally the Software, or any portion thereof.

6.2 Use the Software, or any portion thereof, to create, market, or distribute any product or service that is competitive with the Software.

6.3 Use the Software, or any portion thereof, to transfer, sell, lease, license, sublicense, distribute, disclose, divulge, or make available the Software to, or permit use of or access to the Software by, any person or entity.

6.4 Remove, alter, or obscure any intellectual property or copyright notice or other restrictive notice or legend contained or included in or on any of the Software.

6.5 Use the Software, or any portion thereof, for any illegal or unauthorized purpose.

7. USER-GENERATED CONTENT

7.1 You may share screenshots or videos of the beta version of the Software on the internet, including social media platforms.

7.2 By sharing such content, You grant the Company a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and distribute the content for the purpose of improving the Software and for marketing purposes.

8. TERMINATION

8.1 We reserve the right to terminate or suspend Your access to the Software at any time, with or without cause, and with or without notice.

9. LIMITATION OF LIABILITY

9.1 IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO, OR USE OF, THE SOFTWARE.

10. USE OF EMPLOYER LOGOS

10.1 By signing up in the platform, You agree that the Company may display the logo of Your employer (the company You work for or represent) on our website and other marketing materials for promotional purposes.

10.2 This permission is granted on a royalty-free, non-exclusive basis.

11. CHANGES TO THIS AGREEMENT

11.1 We reserve the right to modify this Agreement at any time. We will notify You of any changes by posting the new Agreement on our website or through the Software. Your continued use of the Software after any such changes constitutes Your acceptance of the new Agreement.

13. Copyright Ownership

13.1 All rights, title, and interest, including all intellectual property rights, in and to the Software, any modifications or updates thereto, and any associated documentation are and shall remain the exclusive property of the Company.

13.2 This Agreement does not grant you any rights to the Company’s trademarks or service marks.

13.3 You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary rights notices incorporated in or accompanying the Software.

14. USE OF USER DATA

14.1 By using the Software, You grant the Company a non-exclusive, royalty-free right to access, process, and analyze any data You upload to or generate within the Software ("User Data") solely for the purpose of improving, developing, enhancing, promoting, and marketing the Software and its features.

14.2 The Company will not sell, rent, or otherwise transfer User Data to any third party for commercial purposes.

14.3 The Company will handle all User Data in accordance with applicable data protection laws and its Privacy Policy, and will implement reasonable technical and organizational measures to protect User Data against unauthorized access or disclosure.

15. PAYMENT PROCESSING AND BILLING

15.1 All credit and debit card information entered by You in connection with the Software is stored and managed by Stripe, LLC ("Stripe"), a third-party payment processor. The Company does not directly store, process, or handle Your card information. Your use of Stripe's payment services is subject to Stripe's own terms of service and privacy policy.

15.2 By entering Your payment card information, You acknowledge and agree that the Company may, upon prior written notice to You, begin charging Your payment method for use of the Software. Such notice will be provided with reasonable advance notice before any charges are initiated, specifying the applicable fees and billing terms.

15.3 You may cancel Your subscription or delete Your account at any time prior to the commencement of any billing period or before charges are initiated. Upon timely cancellation or account deletion, no charges will be applied to Your payment method. Instructions for cancellation and account deletion are available within the Software or by contacting us at mail(at)gauzilla.xyz.

16. INDEMNIFICATION

16.1 You agree to indemnify and hold the Company harmless against any claims that arise the use of the Software. You shall further indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) Your use of the Software in violation of this Agreement or applicable law; (b) User Data or any content uploaded, transmitted, or processed by You through the platform; or (c) any third-party claim alleging that Your use of the platform infringes or misappropriates such third party’s intellectual property or other rights.

17. NON-REFUNDABILITY

17.1 Except as expressly stated in this Agreement or required by applicable law, all fees paid for the Software and related services are non-refundable. The Company will not provide refunds or credits for unused subscription periods, partial months, cancellations, suspension, termination, dissatisfaction, or failure to use the Software.

18. GOVERNING LAW

18.1 This Agreement will be governed and construed under the laws of Estonia in the European Union without regard to conflicts of law provisions. Any suit or proceeding arising out of or relating to this Agreement will be brought in the courts in Tallinn, Estonia, and each party irrevocably submits to the jurisdiction and venue of such courts.

19. TRANSITION TO PAID SUBSCRIPTION

19.1 The Customer may initially use the Software at no charge under the "Generator" subscription tier. The Company may begin charging the Customer for continued use of the Software by providing at least one (1) month’s advance written notice of the applicable fees and billing date.

19.2 Unless the Customer cancels the subscription before the effective billing date in accordance with this Agreement, the Customer authorizes the Company to charge the credit card or other payment method provided during signup for the applicable subscription fees, plus any applicable taxes. Charges will recur at the billing interval specified in the notice until the subscription is canceled or terminated.

19.3 The Customer is responsible for keeping its payment information accurate and current. Any cancellation will take effect at the end of the applicable free or paid subscription period, and fees already charged will be non-refundable except as required by applicable law.

By using the Software, You acknowledge that You have read this Agreement, understand it, and agree to be bound by its terms and conditions.
