Effective Date: October 19, 2024

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "You") and Waldek Technologies ("Company," "We," or "Us") for the use of our Gauzilla Pro ("Software"), a software-as-a-service (SaaS) solution, during its closed beta phase.

1. ACCEPTANCE OF TERMS

1.1 By accessing or using the Software, You agree to be bound by the terms and conditions of this Agreement. If You do not agree to these terms, do not use the Software.

2. LICENSE GRANT

2.1 Subject to the terms of this Agreement, the Company grants You a limited, non-transferable, revocable license to access and use the Software for the duration of the closed beta phase.

3. CLOSED BETA ACCESS

3.1 This license is granted exclusively to individuals who have registered on our waitlist and have been invited to participate in the closed beta.

3.2 The purpose of this closed beta program is to collect detailed feedback and improve the Software. You agree to provide feedback as requested by the Company.

4. NO WARRANTY

4.1 THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE COMPANY EXPLICITLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

5. ACCESS CREDENTIALS

5.1 You agree not to share or transfer Your access credentials to anyone.

6. PROHIBITED ACTIVITIES

6.1 Alter, adapt, copy, disassemble, decompile, reverse engineer, create derivative works of, or distribute externally the Software, or any portion thereof.

6.2 Use the Software, or any portion thereof, to create, market, or distribute any product or service that is competitive with the Software.

6.3 Use the Software, or any portion thereof, to transfer, sell, lease, license, sublicense, distribute, disclose, divulge, or make available the Software to, or permit use of or access to the Software by, any person or entity.

6.4 Remove, alter, or obscure any intellectual property or copyright notice or other restrictive notice or legend contained or included in or on any of the Software.

6.5 Use the Software, or any portion thereof, for any illegal or unauthorized purpose.

7. USER-GENERATED CONTENT

7.1 You may share screenshots or videos of the closed beta of the Software on the internet, including social media platforms.

7.2 By sharing such content, You grant the Company a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, and distribute the content for the purpose of improving the Software and for marketing purposes.

8. TERMINATION

8.1 We reserve the right to terminate or suspend Your access to the Software at any time, with or without cause, and with or without notice.

9. LIMITATION OF LIABILITY

9.1 IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR USE, INCURRED BY YOU OR ANY THIRD PARTY, WHETHER IN AN ACTION IN CONTRACT OR TORT, ARISING FROM YOUR ACCESS TO, OR USE OF, THE SOFTWARE.

10. USE OF EMPLOYER LOGOS

10.1 By participating in this closed beta program, You agree that the Company may display the logo of Your employer (the company You work for or represent) on our website and other marketing materials for promotional purposes.

10.2 This permission is granted on a royalty-free, non-exclusive basis.

11. CHANGES TO THIS AGREEMENT

11.1 We reserve the right to modify this Agreement at any time. We will notify You of any changes by posting the new Agreement on our website or through the Software. Your continued use of the Software after any such changes constitutes Your acceptance of the new Agreement.

13. Copyright Ownership

13.1 All rights, title, and interest, including all intellectual property rights, in and to the Software, any modifications or updates thereto, and any associated documentation are and shall remain the exclusive property of the Company.

13.2 This Agreement does not grant you any rights to the Company’s trademarks or service marks.

13.3 You agree not to remove, alter, or obscure any copyright, trademark, or other proprietary rights notices incorporated in or accompanying the Software.

By using the Software, You acknowledge that You have read this Agreement, understand it, and agree to be bound by its terms and conditions.
